• Incorporate Restored Content as part of a larger whole, not as standalone assets
• Add substantial creative or archival value beyond the Restored Content itself
• Not consist solely of Restored Content with minimal modification

Examples of valid Projects include: an archival collection that uses restored historical documents, a museum exhibit incorporating enhanced manuscripts, a documentary featuring restored footage, or a publication using restored images.

It's important to understand two key aspects of our license:

These aspects are fundamental to how AI document restoration works. While you receive broad usage rights, you should not expect exclusive access to specific Restored Content. The value comes from how you incorporate Restored Content into your unique Projects and preservation vision.

Subject to your compliance with this License Agreement, you have the right to:

• Reproduction Rights: Make copies of Projects incorporating Restored Content for distribution, backup, archival, and other legitimate purposes. This includes the right to reproduce Projects across multiple platforms and formats.
• Modification Rights: Edit, alter, adapt, modify, and create derivative works from Restored Content. You can combine Restored Content with other materials, apply additional enhancements, and make any changes necessary for your Projects.
• Distribution Rights: Distribute Projects containing Restored Content through any and all media channels, including online platforms, physical media, publications, exhibitions, and any future distribution methods.
• Public Display Rights: Publicly display, exhibit, or present Projects containing Restored Content. This includes gallery exhibitions, museum displays, online galleries, and any other form of public presentation.
• Sublicensing Rights: Grant sublicenses to clients, partners, publishers, and other third parties for the use of Projects containing Restored Content, provided such use complies with this License Agreement.

You have broad rights to monetize Projects containing Restored Content:

For platform-specific monetization, you may need to document your rights to Restored Content. Our licensing team can provide verification letters for institutional or commercial clients upon request.

Your subscription includes specific download and storage rights:

• Reasonable Download Limits: While you can download as many restored documents as needed for your Projects, we consider downloading more than 100 restored images or 50 PDFs per day to be unreasonable for individual use. Automated downloading through bots or scripts is strictly prohibited.
• Library Access: Downloaded documents remain accessible in your library for the duration of your active subscription. You can re-download previously restored documents as needed for your Projects.
• Local Storage: You may store downloaded Restored Content on your local devices, cloud storage, archival systems, or backup systems for use in your Projects. However, you must maintain appropriate security measures to prevent unauthorized access or distribution.
• Archival Copies: You may maintain archival copies of Projects containing Restored Content for backup, historical, or reference purposes, even after your subscription ends.

It's important to download and back up Restored Content that you plan to use in long-term Projects, as access to previously restored documents may be limited if your subscription expires or is terminated.

For purposes of this License Agreement, "Commercial Use" means any use that is intended for or results in commercial advantage, monetary compensation, or business purposes. This includes but is not limited to:

• Direct Monetization: Generating revenue through sales, licensing, subscriptions, or pay-per-view of Projects containing Restored Content.
• Publishing and Distribution: Using Restored Content in commercial publications, documentaries, educational materials, or other media sold or distributed for profit.
• Product Integration: Incorporating Restored Content into products or services that are sold or licensed to customers, including archival software, databases, or historical collections.
• Client Services: Using Restored Content in work created for clients, whether as an archivist, researcher, historian, or service provider, even if you are not the direct beneficiary of monetization.
• Business Operations: Using Restored Content for internal business purposes, such as training materials, presentations, reports, or other operational needs.

The Free tier offers limited commercial use for personal projects and small-scale experimentation. Full commercial rights are available with Pro, Team, and Enterprise subscriptions.

You may monetize Projects containing Restored Content through various revenue models:

Regardless of your revenue model, the Restored Content must be used as part of a larger Project that adds substantial archival or creative value. You may not resell Restored Content as standalone assets or as part of stock media collections.

While commercial use is broadly permitted, certain limitations apply:

• No Resale as Stock: You may not resell, redistribute, or license Restored Content as stock media, templates, or standalone assets. Restored Content must be used as part of a larger Project or product, not as the primary product itself.
• No Trademark Registration: You may not register Restored Content as a trademark, service mark, or other intellectual property right that would prevent others from using similar content. This includes logos, brand identifiers, or distinctive marks.
• No False Attribution: You may not claim or imply that Restored Content was restored through non-AI means when it was restored using our Services. Transparency about AI restoration is required where reasonable and appropriate.
• No Competing Services: You may not use Restored Content to create services that directly compete with Recovoly's core offerings, including AI restoration services, document preservation platforms, or archival marketplaces.
• No Training Competing AI: You may not use Restored Content to train, develop, or improve competing AI models, machine learning systems, or similar technologies for document restoration.

These limitations are designed to protect the ecosystem while allowing for broad commercial use. If you have questions about whether a specific use case is permitted, please contact our licensing team for clarification.

Different industries may have specific considerations for commercial use of Restored Content:

Industry-specific regulations, standards, and best practices may impose additional requirements beyond this License Agreement. You are responsible for understanding and complying with all applicable industry requirements.

Understanding revenue sharing and royalty obligations is important for commercial use:

• No Revenue Sharing with Recovoly: You are not required to share revenue or pay royalties to Recovoly for commercial use of Restored Content. The subscription fee covers all licensing rights.
• Rights Organizations: If your Projects involve public performance or broadcast, performing rights organizations (PROs) may require royalty payments for underlying works. These obligations are separate from this license.
• Platform-Specific Revenue Sharing: Digital platforms may have their own revenue sharing models. These arrangements are between you and the platform, not governed by this license.
• Client Revenue Sharing: Revenue sharing arrangements with clients or partners are governed by your agreements with those parties, not by this license.

For commercial applications involving underlying third-party works, we recommend consulting with legal counsel or licensing experts to ensure compliance with all royalty and licensing requirements.

When you create a Project for a client using Restored Content, your client receives specific usage rights:

• Project Usage Rights: Clients may use, distribute, display, perform, and modify the complete Project you deliver to them, including the Restored Content contained within it. These rights are perpetual and worldwide, subject to the same restrictions that apply to your use.
• No Direct Access to Assets: Clients do not receive direct access to the individual Restored Content assets. They only receive rights to use the Restored Content as incorporated into the delivered Project.
• Sublicensing Rights: Clients may sublicense their rights to the Project to their own customers, publishers, distributors, or partners, provided such sublicensing complies with this License Agreement.
• Modification Rights: Clients may modify the Project you deliver, including editing, adapting, or creating derivative works, as long as such modifications comply with this License Agreement.

It is your responsibility to ensure that clients understand the scope of their rights and any limitations that apply. We recommend including appropriate language in your client agreements to reflect these terms.

When creating Projects for clients, you have specific responsibilities:

• License Maintenance: You must maintain an active Recovoly subscription while creating client Projects. If your subscription expires, you cannot create new client Projects using Restored Content, though previously delivered Projects remain licensed to clients.
• Client Education: You should educate clients about the nature of AI-restored content, including any platform-specific requirements for disclosure or attribution.
• Compliance Assurance: You are responsible for ensuring that client Projects comply with this License Agreement, including all prohibited uses and restrictions.
• Quality Control: You should review and verify Restored Content before incorporating it into client Projects, as AI systems may produce errors, inaccuracies, or inappropriate content.
• Record Keeping: Maintain records of which Restored Content was used in which client Projects, in case verification or audit is needed.

Failure to fulfill these responsibilities could result in liability for both you and your clients. We recommend implementing clear processes and documentation for client work involving Restored Content.

When collaborating with third parties (co-researchers, contractors, institutions), specific rules apply:

For larger collaborations or institutional work, consider a Team or Enterprise subscription that provides appropriate access levels and compliance tools for multiple contributors.

Special considerations apply to white-label and reseller arrangements:

• White-Label Projects: You may create Projects for white-label distribution, where the end client receives the Project under their own branding. The white-label client receives the same rights as any other client.
• No Asset Resale: You may not resell Restored Content as standalone assets, stock images, templates, or as part of asset collections. Restored Content must be incorporated into value-added Projects.
• Platform Reselling: You may not resell access to Recovoly's Services or create platforms that compete with our core offerings without explicit written permission.
• Agency of Record: When acting as an agency of record for clients, you remain responsible for compliance with this License Agreement for all Restored Content used in client work.

Important liability considerations for client work:

• Your Responsibility: You are responsible for any violations of this License Agreement by your clients or anyone using Projects you create. This includes ensuring client compliance with all terms and restrictions.
• Indemnification Obligation: You agree to indemnify and hold Recovoly harmless from any claims, damages, or losses arising from your clients' use of Projects containing Restored Content.
• Client Agreements: We recommend including appropriate indemnification, warranty, and liability provisions in your client agreements to allocate risk appropriately.
• Professional Liability Insurance: For significant client work, consider maintaining professional liability insurance that covers AI-restored content and related services.

Proper risk management is essential when incorporating Restored Content into client work. Consult with legal counsel to ensure your business practices adequately address these considerations.

When you use our AI Services to restore documents ("AI Output"), the following ownership and rights framework applies:

• Your Input Ownership: You retain all rights, title, and interest in and to the documents and materials you provide as input to our AI Services ("Your Input"). Recovoly claims no ownership over Your Input.
• AI Output Assignment: Subject to your compliance with this License Agreement, Recovoly assigns to you all its rights, title, and interest in and to the AI Output. This assignment provides you with comprehensive rights to use AI-restored content in accordance with this license.
• Non-Uniqueness Acknowledgement: Due to the probabilistic nature of AI, AI Output may not be unique, and similar or identical restorations may be generated for other users. We do not guarantee the uniqueness of any AI Output.
• Commercial Use Rights: You receive the same commercial use rights for AI Output as for other Restored Content, subject to the same restrictions and limitations outlined in this License Agreement.

This framework is designed to provide you with substantial rights to AI-restored content while acknowledging the technical realities of AI restoration. The assignment of rights represents our commitment to empowering archivists with AI technology.

AI Services operate on a credit-based system with specific terms:

Credits are designed to provide predictable costs while allowing flexibility in AI Service usage. Monitor your credit usage regularly to optimize your document restoration workflow and avoid unexpected interruptions.

Different AI models may have specific licensing considerations:

While all services provide commercial use rights through our platform, individual model providers may have specific terms that we incorporate into our licensing framework. We handle all necessary agreements with model providers on your behalf.

Important considerations for input documents and intellectual property:

• Input Ownership: You own the documents you provide as input to our AI Services. We do not claim any rights to your documents or use them to train models without your explicit consent.
• Document Privacy: Your uploaded documents are private by default. We do not share them with other users or third parties, except as necessary to provide the Services or as required by law.
• Model Training: By default, we do not use your documents or Restored Content to train our models. If we offer opt-in model improvement programs, they will be clearly identified with separate consent mechanisms.
• Third-Party Rights: You are responsible for ensuring your input documents do not infringe third-party intellectual property rights. Avoid uploading documents you do not have rights to restore and use.

Understanding the rights to your input documents is crucial. We provide tools and resources to help you assess document rights, but ultimate responsibility rests with you.

Important limitations and disclaimers for AI Services:

• No Guarantee of Results: AI Services may produce unexpected, inaccurate, or incomplete restorations. We do not guarantee that Restored Content will meet your expectations or be suitable for any particular purpose.
• Content Moderation: We implement content moderation systems, but you are responsible for reviewing Restored Content for appropriateness, accuracy, and compliance with laws and regulations.
• Service Availability: AI Services may be subject to downtime, maintenance, or technical limitations. We strive for high availability but do not guarantee uninterrupted service.
• Model Changes: We may update, modify, or replace AI models without notice. Output characteristics may change as models evolve.

These limitations reflect the current state of AI technology. As AI systems evolve, we continuously work to improve reliability, accuracy, and safety while providing clear expectations to users.

You may not use Restored Content for any illegal, harmful, or malicious purposes, including but not limited to:

• Illegal Activities: Content that violates any applicable laws, regulations, or legal requirements in your jurisdiction or the jurisdiction where the content is accessed.
• Document Fraud: Using Restored Content to create fraudulent documents, forged signatures, or falsified records with intent to deceive.
• Historical Misrepresentation: Using Restored Content to materially misrepresent historical facts or contexts with intent to deceive.
• Privacy Violations: Restoring documents that violate personal privacy, including non-consensual intimate imagery, doxxing, or harassment.
• Harmful Content: Content that promotes, incites, or facilitates violence, discrimination, or hate speech against protected groups.

Restrictions related to intellectual property rights:

We provide tools to help identify potential IP issues, but you are ultimately responsible for ensuring your use of Restored Content does not infringe third-party rights.

Restrictions related to platform usage and service integrity:

• Reverse Engineering: You may not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or architecture of our AI models or platform.
• Automated Access: You may not use bots, scripts, or automated systems to access our Services, restore documents, or download assets, except through our official API with appropriate rate limiting.
• Service Disruption: You may not engage in activities that disrupt, overload, or interfere with the proper functioning of our Services, including denial-of-service attacks or excessive resource consumption.
• Account Sharing: You may not share account credentials or provide access to your account to others, except as explicitly permitted under Team or Enterprise subscriptions.
• Circumvention: You may not circumvent any technical limitations, security measures, or access controls implemented by our Services.

Restrictions related to commercial use and competition:

Our default position on attribution:

• No Required Attribution: Generally, you are not required to provide attribution for Restored Content used in your Projects. Our commercial license allows you to use Restored Content without credit.
• Voluntary Attribution: You may voluntarily attribute Recovoly if you choose to do so. We provide suggested attribution language for those who wish to credit our platform.
• No False Attribution: You may not claim that Restored Content was restored through non-AI means when it was restored using our Services.
• Transparency Encouraged: While not required, we encourage transparency about AI-restored content where appropriate for your audience and industry.

Certain circumstances may require or make attribution appropriate:

Attribution considerations for institutions:

• Museums and Archives: Most institutions require documentation of restoration methods in collection records. Exhibition labels may or may not mention AI restoration depending on institutional policy.
• Libraries: Catalog records should include restoration methodology. Digital collections may note AI restoration in metadata.
• Universities: Academic integrity standards may require disclosure of AI tools in research and publications. Institutional review boards may have specific requirements.

For purposes of this License Agreement, "Perpetual Rights" means:

• Payment Issues: Temporary payment failures may result in service interruption, but typically do not affect perpetual rights for previously restored content once payments are resolved.
• Account Suspension: For violations of this License Agreement, we may suspend your account and access to Services, but this does not automatically revoke perpetual rights for properly used Restored Content.
• Account Termination: In cases of serious violations, we may terminate your account and revoke all rights, including perpetual rights. This is a last-resort measure for egregious violations.

To protect your perpetual rights, download and back up all Restored Content that you plan to use in long-term Projects before your subscription ends.

• Administration Controls: Granular permission settings, usage monitoring, billing management, and member onboarding/offboarding tools.

Team members have specific rights and responsibilities:

All team members are individually bound by this License Agreement. Violations by any team member can affect the entire team account.

Team administrators have additional responsibilities:

• Account Management: Adding and removing team members, managing permissions, and overseeing team structure.
• Resource Allocation: Setting usage limits, credit allocations, and storage permissions for team members.
• Compliance Oversight: Ensuring all team members understand and comply with this License Agreement. Monitoring usage for potential violations.

• Collective Responsibility: The team as a whole is responsible for compliance with this License Agreement. Violations by any team member can impact the entire team account.

• Indemnification: The team agrees to indemnify Recovoly for any claims arising from team member use of Restored Content, including violations of this License Agreement.

Our ownership framework distinguishes between three categories:

• Rights Assignment: Subject to your compliance with this License Agreement, Recovoly assigns to you all its rights, title, and interest in and to Restored Content created through your use of our Services.
• Scope of Rights: This assignment includes all intellectual property rights necessary for the uses permitted under this License Agreement, including copyright and related rights.
• Non-Exclusivity: The assignment is non-exclusive. Recovoly retains the right to use and license Restored Content to other users, and similar or identical content may be restored for others.
• Registration Rights: You may register copyright in Projects containing Restored Content, but you may not claim exclusive rights to specific Restored Content elements that may be similar to others' content.
• Assignment Conditions: The assignment is conditional on your compliance with this License Agreement. Serious violations may result in revocation of rights.

This framework provides you with substantial rights to use Restored Content in your Projects while acknowledging the technical realities of AI restoration.

Intellectual property owned by Recovoly:

• Platform Technology: All software, algorithms, models, systems, and technology powering our Services, including AI models, training methodologies, and implementation techniques.
• Brand Assets: Trademarks, service marks, logos, brand names, and other identifiers associated with Recovoly and our Services.
• Documentation and Content: Help documentation, tutorials, guides, blog content, and other educational materials we provide.
• Analytics and Data: Aggregated usage data, analytics insights, and platform performance information (excluding your personal data and Restored Content).
• Infrastructure: Technical infrastructure, architecture designs, and system configurations developed by Recovoly.
• Proprietary Methods: Unique methods, processes, and techniques developed by Recovoly for AI document restoration, image processing, and user experience.

You may not copy, reverse engineer, or otherwise misuse Recovoly's intellectual property. Respect for our IP enables continued innovation and service improvement.

Considerations regarding third-party IP:

We provide tools and guidance to help avoid IP issues, but ultimate responsibility for respecting third-party rights rests with you. When in doubt, consult legal counsel.

Protection of intellectual property rights:

• Your IP Protection: You may take appropriate measures to protect your rights in Projects containing Restored Content, including copyright registration, DMCA takedown notices, and legal action against infringers.

• No Competitive Use: You may not use our API to develop services that directly compete with Recovoly's core offerings without explicit written permission.

• Illegal Activities: Use of Restored Content for illegal purposes, document fraud, harassment, or other unlawful activities.
• Payment Issues: Non-payment of subscription fees that remains unresolved after reasonable notice and grace periods (typically 30 days).
• Abuse of Services: Excessive resource consumption, denial-of-service attacks, automated scraping, or other activities that disrupt Services for other users.
• Legal Requirements: Compliance with legal orders, law enforcement requests, or regulatory requirements that necessitate account suspension or termination.

You may terminate your account at any time:

Before canceling, download all Restored Content you wish to preserve. Access to previously restored content may be limited after cancellation.

What happens when your account is terminated:

• Immediate Access Loss: You lose immediate access to Recovoly's Services, including restoration tools, APIs, and online resources.
• Content Retention: We may retain your Restored Content for a reasonable period (typically 90 days) for legal, security, and operational purposes, after which it may be deleted.
• Data Export: You have a limited period (typically 30 days) to export your Restored Content and data after termination notice.
• Perpetual Rights Impact: For voluntary termination or non-payment, perpetual rights to previously restored content are preserved. For termination due to violations, perpetual rights may be revoked.
• Financial Obligations: Outstanding payments remain due. Refunds are typically not provided for terminated accounts due to violations.
• Reinstatement: Terminated accounts may be reinstated at our discretion, possibly with additional conditions or limitations.

• Alternative Sources: Consider maintaining relationships with multiple restoration service providers to mitigate risk of service disruption from any single provider.
• Compliance Monitoring: Implement regular compliance reviews to ensure adherence to this License Agreement and avoid violations that could lead to termination.
• Succession Planning: For institutions, establish clear procedures for account management succession to avoid disruption from personnel changes.
